Terms and Conditions - Akeyo

1. Scope

These Terms and Conditions govern the use of the Akeyo platform by entrepreneurs, companies, associations and self-employed persons (hereinafter referred to as “partners”).

Akeyo is intended exclusively for business customers (B2B).

2. Service Description

Akeyo provides the partner with a technical platform, in particular for:

  • online booking of time-limited services
  • integration of online payments via payment service providers
  • integration of electronic access systems

Akeyo is not the provider of the services offered by the partner.

The contract for the offered services is concluded exclusively between the partner and its end customers.

3. Roles and Responsibilities

The partner acts towards end customers as the sole seller, provider and contractual partner.

Akeyo acts exclusively as:

  • technical platform
  • booking, payment and integration service provider

Akeyo is neither a payment service provider nor merchant of record.

4. Payment Processing

Payment processing is carried out via external payment service providers such as Stripe.

For this purpose, the partner enters into a separate contractual relationship with the respective payment service provider.

Akeyo does not receive access to complete payment data such as credit card numbers.

Payouts, refunds, fees and compliance with regulatory requirements remain the responsibility of the payment service provider and the partner.

5. Obligations of the Partner

The partner undertakes in particular to:

  • provide correct, complete and up-to-date company and contact data
  • operate a legally compliant website including imprint, privacy policy, terms and service description
  • inform end customers transparently about prices, services, cancellation and refund rules
  • use Akeyo only within the framework of applicable laws
  • not process unlawful, misleading or immoral content via Akeyo

6. Access Systems

The integration of electronic access systems is provided via external providers such as EVVA.

Akeyo assumes no warranty for:

  • continuous availability of external systems
  • error-free functioning of the hardware used by the partner

The partner remains responsible for:

  • access rules
  • house rules
  • safety and operation of the premises

7. Availability and Maintenance

Akeyo strives for the highest possible availability of the platform.

There is no entitlement to uninterrupted operation.

Maintenance and update work may lead to temporary restrictions.

8. Liability

Akeyo is liable only for damages caused by intent or gross negligence.

Liability for indirect damages, consequential damages, loss of profit or loss of data is excluded to the extent permitted by law.

Akeyo is not liable for:

  • contractual relationships between the partner and end customers
  • payment processing by third parties
  • failures or malfunctions of external systems such as Stripe or access systems

9. Data Protection

Akeyo processes personal data exclusively on behalf of the partner.

The details under data protection law are governed by a separate data processing agreement.

The partner remains the data controller vis-a-vis end customers.

10. Contract Term and Termination

The contract between Akeyo and the partner is concluded for an indefinite period unless otherwise agreed.

Either party may terminate the contract with 30 days’ notice to the end of a calendar month unless a minimum term or other agreement applies.

The right to terminate without notice for good cause remains unaffected.

11. Changes to the Terms

Akeyo is entitled to amend these terms if this is necessary for legal, technical or organizational reasons.

Changes will be communicated to the partner in due time.

If the partner does not object within 30 days, the changes are deemed accepted.

12. Final Provisions

Austrian law applies to the exclusion of the UN Convention on Contracts for the International Sale of Goods.

The place of jurisdiction is Vienna where legally permissible.

Should individual provisions of these terms be or become invalid, the validity of the remaining provisions remains unaffected.
